Northwarden Terms of Service

These Terms of Service ("Terms") govern your access to and use of Northwarden's websites, desktop applications, software, services, account systems, licensing systems, and related features ("Services").

By purchasing, downloading, installing, accessing, or using Northwarden, you agree to these Terms.

1. Northwarden Services

Northwarden provides software intended to assist businesses with organizing, reviewing, prioritizing, and managing information associated with business operations and supported third-party services.

Northwarden does not replace professional judgment or business decision-making.

Users remain responsible for reviewing information and determining what actions should be taken.

2. Eligibility

You must have the legal authority to enter into these Terms personally or on behalf of the business or organization you represent.

If you use Northwarden on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts

Certain Northwarden features require an account.

You are responsible for maintaining the security of your account credentials and for activity occurring through your account.

You must provide accurate information and promptly notify Northwarden if you believe your account has been compromised.

4. Software Licenses

Purchasing Northwarden grants you a limited, revocable, non-exclusive, non-transferable license to use the software according to the terms associated with your purchase.

The purchase does not transfer ownership of Northwarden software or intellectual property.

License keys may not be resold, publicly shared, distributed, copied, or transferred without authorization from Northwarden.

Northwarden may limit the number of devices associated with a license.

Attempts to bypass, manipulate, counterfeit, or defeat the Northwarden licensing system may result in suspension or termination of the license.

5. Software Downloads and Updates

Customers with eligible licenses may download supported versions of Northwarden through their account.

Northwarden may release updates, security fixes, improvements, or new versions.

Northwarden may discontinue support for outdated software versions when necessary for security, compatibility, or operational reasons.

6. Payments

Payments may be processed by third-party payment processors including Stripe.

By purchasing Northwarden, you authorize the applicable payment processor to process the purchase.

Northwarden does not directly store complete payment card information when Stripe-hosted payment processing is used.

Prices may change for future purchases.

A price change will not retroactively alter a completed purchase unless explicitly agreed to by the customer.

7. Refunds

Refund requests will be reviewed according to Northwarden's posted refund policy and applicable law.

Northwarden reserves the right to deny refund requests involving abuse, fraud, excessive software usage, repeated purchases and refunds, or violations of these Terms where permitted by law.

Nothing in these Terms limits rights that cannot legally be waived.

8. Third-Party Services

Northwarden may integrate with third-party products or services.

Third-party services operate independently and may have their own terms, privacy policies, availability, and security practices.

Northwarden is not responsible for outages, changes, restrictions, data loss, or other problems caused by third-party services.

References to third-party companies do not imply endorsement, sponsorship, or partnership unless explicitly stated.

9. Acceptable Use

You may not use Northwarden to:

  • Violate applicable laws
  • Gain unauthorized access to systems or accounts
  • Circumvent licensing protections
  • Distribute malware
  • Reverse engineer Northwarden except where applicable law expressly permits it
  • Resell unauthorized copies
  • Interfere with Northwarden infrastructure
  • Abuse Northwarden APIs or services
  • Fraudulently obtain licenses or services

10. Intellectual Property

Northwarden, including its software, interface, branding, designs, code, documentation, logos, and related intellectual property, is owned by Northwarden or its licensors.

Except for the limited license granted under these Terms, no intellectual-property rights are transferred to customers.

11. Availability

Northwarden strives to provide reliable services but does not guarantee uninterrupted or error-free availability.

Maintenance, outages, software bugs, third-party failures, network problems, security incidents, and other events may temporarily affect service availability.

12. Accuracy and Automated Analysis

Northwarden may use automated systems to classify, organize, prioritize, summarize, or otherwise process information.

Automated outputs may occasionally be incomplete, inaccurate, delayed, or incorrectly classified.

Users are responsible for reviewing important information before relying on it.

Northwarden should not be treated as the sole source for time-sensitive, financial, legal, safety-critical, or other consequential business decisions.

13. Disclaimer of Warranties

To the maximum extent permitted by law, Northwarden is provided on an "as is" and "as available" basis.

Northwarden does not guarantee that the Services will always be accurate, uninterrupted, secure, error-free, or suitable for every particular business purpose.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Northwarden and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use or inability to use Northwarden.

Where permitted by law, Northwarden's aggregate liability arising from the Services will not exceed the amount paid by the customer to Northwarden during the twelve months preceding the event giving rise to the claim.

15. Account or License Suspension

Northwarden may suspend or terminate accounts or licenses involving:

  • Fraud
  • Unauthorized distribution
  • License circumvention
  • Security abuse
  • Violation of these Terms
  • Illegal activity
  • Threats to Northwarden systems or other customers

16. Changes to the Services

Northwarden may modify, improve, replace, or discontinue features.

Northwarden may also change these Terms from time to time.

Material changes may be communicated through the website, customer dashboard, email, or application.

17. Governing Law

These Terms are governed by the laws applicable in [INSERT JURISDICTION], without regard to conflict-of-law principles.
